Psychobiology™ Terms of Use

Effective date: October 1, 2026

Please read these Terms of Use (the “Terms”) carefully. By enrolling in, purchasing, accessing, or participating in any course, mentorship, cohort, training, or digital resource offered by the Company (each a “Program”), you agree to be bound by these Terms. If you do not agree, you may not enrol in or access a Program.

1. Definitions

“Company” means Niecia Nelson, an individual carrying on business in British Columbia, Canada, and, from the time of its incorporation, Niecia Nelson Inc., a British Columbia corporation, to which these Terms and all enrolments under them may be assigned as provided in Section 18 (“we,” “us,” or “our”), together with its owners, members, officers, employees, contractors, agents, successors, and assigns. Any third-party platform or organization that hosts or delivers a Program on the Company’s behalf acts solely as a service provider and is not a party to these Terms.

“Founder” means Niecia Nelson, creator of the Psychobiology™ framework.

“Releasees” means the Company, the Founder, and any volunteers, mentors, guest instructors, and representatives acting on the Company’s behalf.

“Content” means all words, recordings, videos, audio, slides, worksheets, case studies, diagrams, frameworks, terminology, training materials, design, layout, graphics, data, and other material made available in or through a Program, on the Company’s website, on any third-party platform used to host a Program, or in emails and messages sent by the Company, together with the look and feel of all of the foregoing.

“Proprietary Frameworks” has the meaning given in Section 6.

2. Eligibility

Programs are intended only for individuals aged 18 and over and are open to the general public. Participation does not require a professional license or credential. If you are a licensed or credentialed professional, you are responsible for confirming that your participation in a Program, and any application of what you learn, is consistent with the laws, licensure requirements, and professional standards that apply to you. Participants located in the European Union, the European Economic Area, or the United Kingdom may enroll without prior approval only as practitioners, and consumers located in those regions must obtain the Company’s written approval before enrolling, as set out in Section 4.1.

3. Enrolment and Payment

All prices are quoted in U.S. Dollars. By providing payment information, you represent that you are authorized to use the payment method and that the information you provide is current, accurate, and complete, and you authorize the Company and its payment processors to charge that method for all amounts due.

Programs may have limited seats. The Company may decline or cancel any enrolment, and where it does so before the Program begins, you will receive a refund of amounts paid.

3.1 Payment Plans (Financed Purchase) and Missed Payments

By enrolling in a Program, you purchase it at its full price, and that full price is due and owing to the Company from the date of your enrolment. Where a Program is offered with a payment plan and you select it, you are asking the Company to finance your purchase: the Company agrees to accept the price over time, in the instalments, amounts, and dates shown at checkout, instead of requiring payment in full at enrolment. The Company extends this accommodation in reliance on your commitment to pay the entire price. Each instalment is a repayment of a purchase you have already made. The payment plan is not a subscription, a month-to-month membership, or a trial, and it does not give you a right to stop paying before the full price has been paid. You owe the full price whether or not you use, attend, or complete the Program.

You authorize the Company and its payment processors, currently Stripe and Squarespace, and any successor or additional processor the Company uses, to charge the payment method you provided automatically on each instalment due date. You are responsible for keeping your payment method current and valid for the entire payment plan, and for updating it promptly if your card is replaced, expires, or is declined.

If an instalment fails to process, the payment processor will attempt to process it up to three (3) times in total. If the instalment has not been successfully processed after the third attempt, the Company will remove your access to the Program, including the Content, live sessions, and any community or forum space, and may do so without further notice.

Removal of access for non-payment is a suspension of delivery only. It does not cancel your purchase, reverse the financing, end your agreement with the Company, or release you from any amount owed. You remain responsible for the full remaining balance of the Program price, and each remaining instalment stays due on its scheduled date or, at the Company’s election, the entire unpaid balance becomes immediately due. The Company may charge any updated payment method you provide, invoice you for the balance, and pursue collection of it. The Company may, at its discretion, restore access once all overdue amounts have been paid. Time during which your access was removed is not credited, extended, or refunded, and it does not shorten or alter the Access Period described in Section 5.

You are released from your obligation to pay the remaining balance only if the Company grants you an early release from the Program in writing (an “Early Release”). An Early Release is granted only at the Company’s sole discretion, may be made subject to conditions, and takes effect only when the Company confirms it to you in writing, including by email. To request one, email hello@psychobiologymethod.com. The following do not release you from your payment obligations: non-use of the Program, a change in your circumstances or interest, dissatisfaction with the Program, a request for a refund, a declined or expired payment method, removal of your access for non-payment, a verbal statement by anyone on behalf of the Company, or your own decision to stop attending or participating. Because all sales are final under Section 4, no payment obligation is reduced or cancelled by any request for a refund.

You agree to reimburse the Company for the reasonable costs of collecting any overdue balance, including collection agency fees and reasonable legal fees, to the extent permitted by law. If you dispute an instalment with your card issuer or payment processor while an amount remains owing under your payment plan, that dispute does not release you from the balance, and Section 4 applies.

4. No Refunds; Chargebacks

Due to the nature of this work, there are no refunds and all sales are final. Every Program is non-refundable. The Company does not give refunds, partial refunds, credits, or pro-rated returns for any Program, for any reason, at any time. This includes where you do not use, attend, or complete the Program, change your mind, experience a change in your circumstances, are dissatisfied, have technical or scheduling difficulties, or stop participating, and whether or not you have accessed any Content.

This policy reflects the nature of the Programs. A Program is a digital educational product. Access to the Content, and to the Company’s intellectual property, is delivered to you immediately on enrolment; Content cannot be returned once it has been made available to you. You acknowledge that you receive the benefit of this access from the moment you enrol and that the price of the Program reflects it.

This policy applies equally to payment plans. Where you pay in instalments, no refund is available for any amount already paid, and the full remaining balance stays due as set out in Section 3.1.

The only exceptions are: (a) where the Company itself cancels your enrolment before the Program begins, in which case you will receive a refund of the amounts you paid, as stated in Section 3; and (b) where the Company decides to end your participation and terminate your access to the Program before the Program ends for a reason other than your breach of these Terms, including a decision by the Company that the Program is not a good fit for you, and you have paid the Program price in full. In that case, the Company will refund the portion of the price, calculated on a pro-rated basis from the date your access ends to the end of the Program. Where you are on a payment plan when the Company ends your participation for such a reason, the Company will cancel any remaining instalments.

No refund is available under paragraph (b) where the Company ends your participation or terminates your access because of your breach of these Terms or other misconduct, including sharing or selling your login credentials, recordings, or Content; any other Unauthorized Use; any illegal, fraudulent, or harmful activity; harassment or abuse of the Company, its personnel, or other participants; or non-payment. The Company’s calculation of the pro-rated amount, made in good faith, is final.

By enrolling, you confirm that you have read this Section, that you understand all sales are final and non-refundable, and that you are making your purchase on that basis. Because there are no refunds, you agree that you will not initiate a chargeback, payment dispute, or reversal of any payment for a Program with your card issuer, bank, or payment processor. The Company reserves the right to dispute any chargeback and to recover its reasonable costs where a chargeback is made in violation of this Section.

4.1 Participants in the EU, EEA, and UK

Professional participants. The Company offers Programs, without prior approval, to participants located in the European Union, the European Economic Area, or the United Kingdom only where they are practitioners enrolling for professional purposes. If you are located in any of those regions and enrol on this basis, you confirm and acknowledge that you are a practitioner, that you are enrolling in a professional capacity for the purposes of your practice, and that you are not purchasing as a consumer. You agree to give this confirmation at checkout and to provide reasonable evidence of your professional status to the Company by email to hello@psychobiologymethod.com upon registration.

Consumers in the EU, EEA, and UK. The Company does not offer Programs to consumers located in the European Union, the European Economic Area, or the United Kingdom unless the consumer first writes to hello@psychobiologymethod.com to request approval and receives the Company’s written approval before enrolling. The Company may approve or decline any request in its sole discretion. An enrolment by a consumer located in any of those regions without that prior written approval is not accepted, and the Company may cancel it and refund any amount paid. Where the Company approves a request, any right given to you by the law of your country that cannot be waived by agreement continues to apply and is not affected by these Terms.

The remainder of this Section applies only if, despite the foregoing, you are determined to be a consumer located in the European Union, the European Economic Area, or the United Kingdom. It applies in place of the no-refund policy above, but only to the extent that the law of your country gives you a right that cannot be waived by agreement. Nothing in this Section affects your statutory rights.

Right of withdrawal. You have the right to withdraw from your purchase of a Program within fourteen (14) days, without giving any reason. The withdrawal period expires fourteen (14) days after the day of your enrolment. To exercise the right of withdrawal, you must inform the Company of your decision by a clear statement, for example by email to hello@psychobiologymethod.com. To meet the deadline, it is sufficient that you send your communication before the withdrawal period has expired.

Effect of withdrawal. If you withdraw, the Company will reimburse all payments received from you without undue delay, and in any event no later than fourteen (14) days after the day on which it is informed of your decision. The Company will use the same means of payment you used for the original transaction, and you will not incur any fee as a result of the reimbursement. Where you enrolled in a payment plan, withdrawal also cancels all remaining instalments. Your notice of withdrawal must include your confirmation that you have not accessed, viewed, or downloaded any Content of the Program online and have not attended any live session or event associated with it, as set out in the model withdrawal form. The Company may check your confirmation against its platform and access records. Where those records show that you accessed the Program, performance has begun and the loss of the right of withdrawal described below applies, to the extent the law of your country allows.

Loss of the right of withdrawal once performance begins. The Programs consist of digital content and services. By requesting immediate access to a Program at enrolment, you expressly consent to the Company beginning performance before the end of the withdrawal period, meaning that the Program is made available to you, and you acknowledge that you will lose your right of withdrawal once performance has begun. Performance begins when you first access the Program portal, view or download any Content, or attend any live session or event associated with the Program, whichever happens first. Where the law of your country continues to allow withdrawal after performance has begun, you will pay an amount proportionate to what has been provided up to the time you inform the Company of your withdrawal.

Checkout confirmation. At checkout, you will be asked to confirm the consent and acknowledgement described above.

Model withdrawal form (complete and send only if you wish to withdraw from the contract):

To Niecia Nelson, hello@psychobiologymethod.com: I hereby give notice that I withdraw from my contract for the purchase of the following Program: [Program name]. Ordered on [date]. I confirm that I have not accessed, viewed, or downloaded any Content of the Program online, and that I have not attended any live session or event associated with it. Name of consumer: ____________. Address of consumer: ____________. Signature of consumer (only if this form is notified on paper): ____________. Date: ____________.

5. Access to Programs

Your enrolment grants you a license to access and use the Content of the Program you enrolled in for the entire period during which that Program remains published and available online through the Company’s website or the third-party platform on which the Company hosts it (the “Access Period”). The Access Period begins on the date your enrolment is confirmed and payment has been received, and ends on the earliest of: (a) the date the Company permanently removes the Program from online availability; (b) the date your access is terminated under Section 12; or (c) the date the Company ceases to operate the Program for any reason described in Section 17.

The online Access Period is tied to the Program’s availability. The Company does not promise to host any Program online for a fixed number of years or for your lifetime, and may update, reorganize, or replace Content during the Access Period, with updated Content falling within your license. Where the Company decides to permanently remove a Program from online availability, it will, where reasonably practicable, give enrolled participants at least 90 days’ notice by email before access ends.

Lifetime access is provided through a Retained Copy. Your enrolment includes lifetime access to the Content of your Program in the following sense. If the Company permanently removes a Program from online availability under paragraph (a) above, the Company will provide you, at no additional charge, with a downloadable copy of the recorded and written Content of that Program as it stood at the time of removal (the “Retained Copy”), so that you may keep it for your own use. The Company will make the Retained Copy available by email or download link no later than 30 days after the removal date. The Company chooses the format of the Retained Copy. The Retained Copy is available only to participants whose payment for the Program is complete and whose access has not been terminated under Section 12. Where the Company is prevented from providing a Retained Copy by an event described in Section 17, it will provide it as soon as reasonably possible.

When the online Access Period ends, your right to access the Program online ends. You may keep and continue to use your Retained Copy, but any other downloaded or printed copies must be deleted or destroyed, except where the Company has agreed otherwise in writing. Your Retained Copy is Content and remains subject to Section 6 in full, including its restrictions on sharing, selling, teaching, commercial use, artificial intelligence systems, and the Proprietary Frameworks, and your license to it continues only while you comply with these Terms. The Retained Copy is granted to you individually and is non-transferable.

6. Intellectual Property

6.1 Ownership of Content

The Content is owned by the Company, the Founder, and/or their licensors, and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms or in your participation transfers any ownership interest in the Content to you.

6.2 Proprietary Frameworks

The following are original works of the Founder and are identified as Proprietary Frameworks:

  • The Two Register Framework, also known as Two Registers, One Living System;

  • Substrate vs. Signal, also presented as Signal vs. Substrate; and

  • Each and every step of the 10 Step Psychobiological Framework, including the names, order, descriptions, and sequence of those steps and the manner in which they relate to one another.

The Company and the Founder claim copyright in the Proprietary Frameworks as expressed in the Content, including their titles, terminology, structure, sequence, written and visual presentation, and the selection and arrangement of their component parts. The Company further claims rights in the names and terminology of the Proprietary Frameworks as trademarks, service marks, or trade identifiers, whether or not registered, and including the Psychobiology™ mark.

6.3 Attribution and Prohibition on Misrepresentation

You agree that you will not, in any medium, whether in person, in writing, online, on social media, in marketing, in client materials, or in teaching or training of others:

  • present, describe, or imply that any Proprietary Framework, or any step, term, or component of it, was created, developed, discovered, or authored by you or by anyone other than the Founder;

  • publish, teach, sell, license, or distribute any Proprietary Framework under your own name or the name of your practice, business, or organization;

  • rename, rebrand, reorder, repackage, or lightly alter any Proprietary Framework and present the result as original to you;

  • use any Proprietary Framework, or any name or terminology confusingly similar to it, as the title or organizing structure of a course, certification, program, product, book, or other offering without the Company’s prior written permission; or

  • state or imply that you are certified, endorsed, authorized, or affiliated with the Company or the Founder beyond the status the Company has expressly confirmed to you in writing.

6.4 Permitted Professional Reference

Participants who are practitioners may reference the Proprietary Frameworks in the course of their own client work and in non-commercial professional discussion, provided that each reference is accompanied by clear attribution, for example: “Informed by the Psychobiology™ framework.” Such reference does not include reproducing the Content, teaching the Proprietary Frameworks as a stand-alone offering, or using them in paid training, supervision products, or published works, each of which requires prior written permission.

6.5 Limited License to You

Subject to these Terms and your payment of all amounts due, and for the duration of the Access Period and, afterwards, for as long as you hold a Retained Copy as described in Section 5, the Company grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Content for your own personal professional learning and, where Section 6.4 applies, for the permitted reference described there. You may view, download, and print one copy of Content for that purpose only.

You may not reproduce, republish, copy, sell, display, share, distribute, sublicense, or otherwise exploit any Content, or any portion of it, for any commercial purpose or in any way that earns you or any third party money, and you may not share Content with friends, family, colleagues, supervisees, clients, or any other third party, except as expressly permitted in writing. Participation in a Program does not confer any right to teach, certify, or train others in the Company’s methods.

6.6 Derivative Works

Any adaptation, summary, translation, or other work that is based on or derived from the Content or the Proprietary Frameworks remains subject to the Company’s rights, and these Terms apply to it. You acquire no ownership interest in the Proprietary Frameworks by developing such work.

6.7 Artificial Intelligence

You may not upload, input, or otherwise provide Content to any artificial intelligence system, large language model, software tool, platform, or database where it could be stored, trained on, retrieved, summarized, or replicated, and you may not use Content to train, fine-tune, or prompt any such system to reproduce or imitate the Proprietary Frameworks or the Founder’s methods or voice.

Consequences. Any breach of this Section 6.7 is an Unauthorized Use under Section 6.9, and you acknowledge that once Content has been provided to an artificial intelligence system, the harm to the Company and the Founder may be impossible to reverse. Without limiting any other remedy, in the event of a breach: (a) the Company may immediately terminate your access to the Program and revoke any Certification, without refund, and your right to any Retained Copy ends; (b) you will, within five (5) business days of the Company’s request, delete the Content from the system or platform concerned, take all reasonable steps to have it removed from any storage, history, or training data and to withdraw any permission for it to be used for training, and confirm in writing that you have done so; (c) you will pay liquidated damages under Section 6.9 as an Unauthorized Use falling within category (b), and you will reimburse the Company’s reasonable costs of investigating and remedying the breach, including legal fees; and (d) the Company may seek injunctive relief as provided in Section 6.9. You are responsible for any breach of this Section 6.7 by anyone who uses your account, your login, or your copy of the Content, including any assistant, employee, or software tool acting on your behalf.

6.8 Requests for Permission

To request permission to use any Content, you must submit a written request to hello@psychobiologymethod.com before any use. If permission is granted, you agree to use the Content only in the manner and to the extent stated in writing. Use outside the scope of that permission is treated as unauthorized use.

6.9 Unauthorized Use

Any use of the Content or the Proprietary Frameworks other than as expressly permitted in these Terms or in a separate written agreement is an “Unauthorized Use.” You acknowledge that Unauthorized Use would cause the Company irreparable harm for which monetary damages would be an inadequate remedy, and that the Company is entitled to seek injunctive relief without posting bond, in addition to all other remedies available at law or in equity. You further agree to pay liquidated damages for each instance of Unauthorized Use as follows: (a) where the Unauthorized Use consists of sharing, lending, or giving access to your login credentials, recordings, downloads, or Content to another person without charge, five thousand U.S. dollars ($5,000); and (b) where the Unauthorized Use consists of teaching, training, certifying, or credentialing others in any Proprietary Framework, selling, licensing, or otherwise commercializing any Content or Proprietary Framework, or presenting any Proprietary Framework as your own or as the work of anyone other than the Founder, twenty-five thousand U.S. dollars ($25,000). The parties agree that these amounts are a reasonable estimate of harm that would be difficult to calculate, reflect the value of the Company’s and the Founder’s intellectual property and the difficulty of detecting and remedying such use, and are not a penalty. Where a single act falls within both categories, the higher amount applies. Unauthorized Use is grounds for immediate termination of your access without refund, and removal of any certifications granted to you.

6.10 Trademarks

Psychobiology™, the names of the Proprietary Frameworks, the Company’s name, and all associated logos and designs are the property of the Company or the Founder. You may not use them, including in metatags, domain names, hashtags, handles, or advertising, without prior written permission.

6.11 Certification: Authorization to Practice, Not to Teach

Where a Program leads to a certification issued by the Company (a “Certification”), the Certification confers on the certified individual a limited, non-exclusive, non-transferable, revocable authorization to practice the Psychobiology™ framework, meaning to apply it in that individual’s own direct work with their own clients, within the scope of their licensure and professional standards.

The Certification does not confer any right to teach, train, instruct, mentor, supervise others in, license, certify, or credential others in any Proprietary Framework or other Content, whether in person or online and whether or not for compensation. It also does not permit you to create or sell any course, workshop, training, supervision program, manual, curriculum, or other educational product based on or derived from the Proprietary Frameworks or the Content. Any right to teach or train others in the Company’s methods may be granted only by a separate written agreement signed by the Company, and no such right is implied by your Certification, your completion of any Program, or the passage of time.

The authorization to practice is personal to the certified individual. It does not extend to employees, associates, contractors, supervisees, or other practitioners in your practice or organization, each of whom must hold their own Certification to practice the framework as certified practitioners. You may describe your status only as “Certified in the Psychobiology™ framework”, and you may not describe yourself as an instructor, trainer, supervisor, or authorized teacher of the framework, or imply any partnership or affiliation with the Company beyond your Certification. The Company may revoke a Certification, without refund, where you violate these Terms, and upon revocation you must immediately stop using the designation and cease holding yourself out as certified. A Certification is not a license to practice any profession and does not guarantee your competence, outcomes, or professional standing.

7. Your Contributions

If you post, submit, or share comments, questions, assignments, or other materials in a Program or in any forum, you represent that you own or have the right to share them. You grant the Company a non-exclusive, worldwide, royalty-free license to use, reproduce, and display those contributions for the operation, improvement, and promotion of the Program. The Company will always seek your separate written consent before using your name, image, or testimonial in marketing. Contributions you make remain yours, but any portion of them that reproduces or restates the Proprietary Frameworks remains subject to Section 6.

8. Confidentiality and Client Information

Participants may discuss case material in live sessions, supervision, or community spaces. You agree to share only information that has been de-identified in accordance with the privacy laws and professional standards that apply to you, and not to disclose any client’s personally identifying information. You agree to keep confidential what other participants share in private sessions and forums, and not to record, screenshot, or share any live session or private community discussion without the written consent of the Company and the other participants involved. The Company is not responsible for any information you choose to share in a Program space, and does not provide a confidential or privileged relationship by reason of your participation.

9. Educational Purpose; Not Professional Advice

Programs and Content are provided for educational and development purposes only. They do not constitute medical, psychological, psychiatric, legal, or financial advice, diagnosis, or treatment, and they are not a substitute for the independent judgment of a qualified professional. Nothing in a Program establishes a clinician-client or treatment relationship between you and the Company or the Founder. You are solely responsible for practicing within your own scope of practice, licensure, and applicable law, for how you apply anything you learn, and for the care you provide to others. If you are seeking support for your own health, please consult your own qualified provider.

The Company makes no representation or guarantee regarding results, outcomes, income, or professional advancement from any Program, and individual results vary.

9.1 Views Expressed; Disagreement Is Not Grounds for Withdrawal

Programs present the perspectives, interpretations, methods, and opinions of the Founder and the Company’s instructors, mentors, and guest speakers, whether in recorded Content, live sessions, community spaces, writing, or social media. These views are offered for your consideration. You are not required to agree with them, and you remain free to form your own conclusions and to practice according to your own training and judgment. You acknowledge, however, that your disagreement with, objection to, or discomfort with any view, theory, method, or statement expressed by the Founder or any instructor or other representative of the Company, whether in a Program or online, is not a defect in the Program and is not a reason for a refund, a credit, a release from your payment obligations, a withdrawal from the Program, or the cancellation of any instalment, in any circumstance, other than where applicable law gives you a right that cannot be waived by agreement. You agree that you have had the opportunity to review the Program description and the publicly available writing and statements of the Founder before enrolling, and that the nature and content of the Program, including its frameworks and perspectives, were disclosed to you at the time of purchase.

10. Community Conduct

You agree to engage respectfully and in good faith with the Company, the Founder, and other participants. You may not post or send content that is abusive, harassing, discriminatory, defamatory, unlawful, or that infringes the rights of others; use any Program space for unsolicited promotion or solicitation; collect data from Program spaces by automated means; interfere with the operation of any platform; or share your login credentials with any other person. The Company may remove content and may suspend or terminate access, without refund, where in its reasonable discretion your conduct violates these Terms.

11. Account Security

You are responsible for keeping your username, password, and access links confidential and for all activity under your account. Access may be used only by the person who enrolled. The Company may suspend or terminate access where it reasonably believes credentials have been shared.

12. Termination

The Company may suspend or terminate your access to any Program or Content, in whole or in part, upon notice where you violate these Terms, and may do so without refund where the violation is material. Where the Company ends your participation for a reason other than your violation of these Terms, Section 4 states when a refund applies. Sections 6, 8, 9, 12, 13, 14, 15, and 16 survive termination, as do any restrictions on your use of the Content and the Proprietary Frameworks.

13. Assumption of Responsibility; Release

You acknowledge that you participate in Programs voluntarily and that you are responsible for your own professional, personal, emotional, and financial decisions and their results. To the fullest extent permitted by law, you release and agree to hold harmless the Releasees from any claim, liability, or damages arising from or related to your participation in a Program or your use or application of the Content.

14. Disclaimer of Warranties and Limitation of Liability

PROGRAMS AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. THE COMPANY DOES NOT WARRANT THAT ACCESS WILL BE UNINTERRUPTED OR ERROR-FREE.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE RELEASEES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, AND THEIR TOTAL LIABILITY FOR ANY CLAIM RELATED TO A PROGRAM WILL NOT EXCEED THE AMOUNT YOU PAID FOR THAT PROGRAM.

15. Indemnification

You agree to defend, indemnify, and hold harmless the Releasees from any claims, damages, losses, and expenses, including reasonable attorneys’ fees, arising from your breach of these Terms, your infringement of the Company’s or the Founder’s intellectual property rights, your contributions to any Program space, your professional practice or client care, or your violation of any law.

16. Governing Law and Disputes

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict of laws principles. You agree that the courts of British Columbia, sitting in Victoria, BC, have exclusive jurisdiction over any dispute arising from or relating to these Terms, a Program, or the Content, and you waive any objection to that venue, including any objection that the forum is inconvenient.

Participants in the United States. If you are located in the United States, you acknowledge that the Company is based in Canada, that you are enrolling on your own initiative, and that these Terms apply to your participation. Nothing in this Section removes any consumer protection right under the law of your state of residence that cannot lawfully be waived by agreement. Despite the exclusive jurisdiction stated above, the Company and the Founder may seek injunctive or other equitable relief to protect their intellectual property in any court of competent jurisdiction, including courts in the United States, and you consent to the personal jurisdiction of those courts for that purpose.

17. Force Majeure

The Company is not in breach of these Terms where it is unable to deliver a Program, in whole or in part, because of events beyond its reasonable control, including illness or incapacity of key personnel, natural disaster, public health emergency, platform or internet failure, or governmental action. The Company will notify you and may propose reasonable accommodations.

18. General Provisions

The Company may update these Terms from time to time by posting the revised Terms and notifying participants by email or upon next access, and continued participation constitutes acceptance. If any provision is held unenforceable, the remaining provisions remain in effect. These Terms are the entire agreement between you and the Company regarding the subject matter and supersede prior understandings. The Company’s failure to enforce any provision is not a waiver of it. The Company may assign these Terms, and all enrolments and rights and obligations under them, in whole or in part, to Niecia Nelson Inc. upon its incorporation or to any other successor entity, without your consent, and on assignment the assignee becomes the Company for all purposes of these Terms. You may not assign these Terms or any enrollment without the Company’s written consent.

19. Contact

Questions about these Terms, and requests for permission to use any Content, may be sent to hello@psychobiologymethod.com.
